    1. Approve, if it meets our standards and specifications for approval, plans submitted by you for the design of your Center. Construction or remodeling, if needed, should begin as soon as possible after signing the Franchise Agreement, but, in any case, will not begin later than 6 months after signing the Franchise Agreement. Upon request, we will assist in the development and planning of any construction or remodeling with respect to sign specification and colors and Center layout and design. You must pay for construction or remodeling and all other costs associated with compliance and permits. Our approval means that the site and plans meet minimum specifications. (See Section 10 of the Franchise Agreement).
    1. You are responsible for purchasing certain marketing materials, equipment, services, supplies, opening inventory and materials used to operate your franchise from our approved or designated suppliers, the contact information for which are indicated in the Operations Manual. We do not deliver or install the equipment, signs, fixtures, opening inventory, or supplies. (See Section 12.7 of the Franchise Agreement).

What This Means (2025 FDD)

According to Learningrx's 2025 Franchise Disclosure Document, if the company approves a franchisee's submitted site and design plans, it signifies that the site and plans meet Learningrx's minimum specifications. While site selection is ultimately the franchisee's responsibility, Learningrx offers assistance by considering factors such as population density, income levels, general location guidelines, and proximity to other Learningrx centers.

Before opening a Learningrx franchise, franchisees must have the physical location they selected approved by Learningrx if it meets the company's standards and specifications. For a Micro Center, the site must be at least 800 square feet, and for a Standard Center, it must be at least 1,000 square feet, unless Learningrx provides written approval otherwise prior to lease execution. Franchisees must maintain a physical location for their center at all times. If Learningrx and the franchisee cannot agree on a site, the franchisee must select two alternate sites for Learningrx to evaluate. Learningrx must then approve or disapprove the site within 30 days of receiving notice of the location.

It is important to note that franchisees are responsible for the costs of construction or remodeling to meet Learningrx's standards, as well as all other costs associated with compliance and permits. If Learningrx does not approve the franchisee's site, Learningrx has the right to terminate the Franchise Agreement and retain all monies received. Additionally, if a franchisee does not make reasonable efforts to open their location within nine months or if Learningrx does not approve the site, Learningrx may terminate the Franchise Agreement and retain all monies received.
