anchisor shall then forward to the insurance carrier. Notwithstanding the foregoing, failure of Franchisee to obtain insurance constitutes a material breach of this Agreement entitling Franchisor to terminate this Agreement pursuant to the provisions of this Agreement. Franchisee will also procure and pay for all other insurance required by state or federal law, including, without limitation, workers' compensation and unemployment insurance.
- 12.10 Appearance and Customer Service. Franchisee and its employees shall (i) maintain a clean and attractive appearance, (ii) give prompt, courteous and efficient service to the public, and (iii) otherwise operate the Business in strict compliance with the policies, practices and procedures contained in the Operations Manual so as to preserve, maintain and enhance the reputation and goodwill of the System.

Franchisees are not allowed to alter, change, or modify the Learningrx system, including the center or products, without prior written consent and approval from Learningrx.
Learningrx also requires franchisees to correct any defects, deficiencies, or unsatisfactory conditions in the appearance or conduct of the business immediately upon notification from Learningrx. This ensures that all locations maintain a consistent brand image and service quality. Furthermore, Learningrx requires franchisees to train their employees according to the standards and procedures established by Learningrx.
