You may not independently use alternative channels of distribution to make sales within or outside your Territory;

- to use and license the use of other proprietary and non-proprietary marks or methods which are not the same as or confusingly similar to the Marks, whether in alternative channels of distribution or in the operation of a business offering educational services, at any location, including within the Territory, which may be similar to or different from the business operated by you;

- to purchase or be purchased by, or merge or combine with, any business, including a business that competes directly with the LearningRx Center you operate, wherever located;

What This Means (2025 FDD)
According to the 2025 Learningrx Franchise Disclosure Document, franchisees are explicitly prohibited from independently using alternative channels of distribution to make sales, whether within or outside their designated territory. Learningrx reserves these alternative channels exclusively for its own use. These channels include, but are not limited to, retail locations, stores, shops, kiosks, malls, airports, special events, television, mail order, catalog sales, wholesale to unrelated retail outlets, and the Internet. This restriction is clearly outlined in the franchise agreement, ensuring that Learningrx maintains control over these sales avenues.
This reservation of rights has significant implications for a prospective Learningrx franchisee. While franchisees are granted a territory, Learningrx retains the ability to market and sell its services through various other means, potentially creating competition within the franchisee's own territory. The FDD states that Learningrx is not required to pay any compensation to the franchisee for soliciting or conducting sales within the franchisee's territory through these alternative channels. This means that Learningrx can directly compete with its franchisees without sharing any of the revenue generated through these channels.
Furthermore, the Learningrx franchisee's territory does not extend to the Internet or World Wide Web, as Learningrx maintains LearningRx Center Web pages. If Learningrx engages in electronic commerce and receives orders for services within a franchisee's territory, the franchisee will be offered the order at a price established by Learningrx. However, if the franchisee chooses not to or is unable to fulfill the order, Learningrx or a designated third party may fulfill it, and the franchisee will not be entitled to any compensation. This highlights the limited control a franchisee has over sales generated within their territory through online channels.
