According to Learningrx's 2025 Franchise Disclosure Document, Learningrx retains the right to purchase, be purchased by, or merge with any business, including those that directly compete with a franchisee's Learningrx Center, regardless of location. This is detailed in Item 12 concerning territory. This reservation of rights allows Learningrx to expand and evolve its business without being restricted by individual franchise territories.
This clause has significant implications for prospective Learningrx franchisees. Even if a franchisee is meeting their Minimum Revenue Quota, Learningrx could still acquire or merge with a competing business, potentially intensifying competition within or near the franchisee's territory.
