Does Learningrx allow the franchisee to relocate the premises without the franchisor's approval?

Franchisee may not relocate the Premises without Franchisor's prior written approval, which may be withheld for any reason.
If Franchisee requests to relocate its Center, this will be subject to our approval, which we have the right to grant or deny for any reason or no reason.
Any relocation will be subject to the site selection and lease provisions contained in the Franchise Agreement and Operations Manual.
Franchisee will not be required to pay Franchisor a relocation fee ("Relocation Fee") for the first request to relocate its Center within the Initial Term of the Franchise Agreement or any Successor Term.
Franchisee will be required to pay Franchisor a Relocation Fee of Two-hundred and fifty and 00/100 Dollars ($250.00) if Franchisee requests to relocate its Center a second time within the Initial Term of the Franchise Agreement or any Successor Term.
Franchisee will be required to pay Franchisor a Relocation Fee of Five hundred and 00/100 Dollars ($500.00) if Franchisee requests to relocate its Center a third time within the
Initial Term of the Franchise Agreement or any Successor Term. Any relocation of Franchisee's Center will be at Franchisee's sole expense. Franchisor's approval will, among other things, be based on the following factors: population density, income levels, general location guidelines, proximity of the proposed site to other LearningRx Centers, and the time it will take to relocate Franchisee's Center.

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, franchisees are not allowed to relocate their Learningrx center without prior written approval from Learningrx. This approval can be withheld for any reason. If a franchisee requests to relocate their center, Learningrx has the right to either grant or deny the relocation request for any reason. Any relocation is subject to the site selection and lease provisions outlined in the Franchise Agreement and Operations Manual.
For the first relocation request within the initial term or any successor term of the Franchise Agreement, Learningrx does not require the franchisee to pay a relocation fee. However, Learningrx will charge a Relocation Fee of $250.00 for the second relocation request within the initial term or any Successor Term. For the third relocation request within the Initial Term of the Franchise Agreement or any Successor Term, Learningrx will charge a Relocation Fee of $500.00.
Learningrx's approval for relocation will be based on factors such as population density, income levels, general location guidelines, the proximity of the proposed site to other Learningrx Centers, and the time it will take to relocate the Learningrx center. The franchisee is responsible for all expenses associated with relocating the Learningrx center.
