What This Means (2025 FDD)
According to the 2025 Learningrx Franchise Disclosure Document, if an Area Developer defaults on the Area Development Agreement, Learningrx has the option to accelerate the Development Schedule. This acceleration can be enacted through immediate written notice to the Area Developer.
An Area Developer can be considered in default if they fail to comply with the Development Schedule, fail to perform obligations under the agreement or any individual franchise agreement, cease to be a franchisee in good standing, or fail to comply with transfer provisions within the agreement.
In addition to accelerating the Development Schedule, Learningrx has other options upon default, including terminating the Area Development Agreement, terminating the territorial exclusivity granted to the Area Developer, or reducing the size of the Development Territory or the number of Learningrx Centers the Area Developer may develop. These options provide Learningrx with flexibility in addressing defaults, but also create potential risks for the Area Developer, who could face a compressed development timeline or loss of territory.
