What This Means (2025 FDD)
According to Kitchen Solvers's 2025 Franchise Disclosure Document, the NASAA SOP Acknowledgment Rider becomes effective when the jurisdictional requirements of the franchise law of the Applicable Franchise Registration State are met independently, without relying on the Rider itself. This means that the protections and amendments provided by the Rider only apply if the state's franchise laws already provide a basis for those protections, regardless of the Rider's existence.
For a prospective Kitchen Solvers franchisee, this implies that the NASAA SOP Acknowledgment Rider is not a standalone guarantee of additional rights or waivers. Instead, it reinforces existing state franchise laws. The rider ensures that no statement, questionnaire, or acknowledgment signed by the franchisee can waive claims under applicable state franchise law, including fraud in the inducement, or disclaim reliance on statements made by Kitchen Solvers or its representatives. This provision overrides any conflicting terms in other documents executed in connection with the franchise agreement.
In practical terms, Kitchen Solvers franchisees should be aware of the specific franchise laws in their state and understand that the Rider's effectiveness is contingent on those laws. It is essential to consult with a legal professional to fully grasp the implications of state-specific franchise regulations and how they interact with the Franchise Agreement and the NASAA SOP Acknowledgment Rider. This ensures that franchisees are fully informed about their rights and protections under both the franchise agreement and the relevant state laws.
