Under what condition will the law regulating the sale of franchises or governing the relationship of a franchisor and its franchisee not apply to the Kitchen Solvers agreement?

According to the 2025 Kitchen Solvers Franchise Disclosure Document, the applicability of franchise laws to the Kitchen Solvers agreement is subject to specific state regulations. For instance, in New York, the terms of the Addendum to the Kitchen Solvers Franchise Agreement apply to the extent that the New York General Business Law, Article 33, §§680 - 695 is applicable. This means that if any provision in the Franchise Agreement is inconsistent with these sections of New York law, it may not be enforceable.

Similarly, in Illinois, the Illinois Franchise Disclosure Act, Ill. Comp. Stat. §§705/1 – 705/44, dictates the terms of the Addendum. Specifically, any provision designating jurisdiction or venue outside of Illinois is void, although arbitration outside of Illinois is permitted. Furthermore, any condition that requires a franchisee to waive compliance with the Illinois Franchise Disclosure Act or any other Illinois law is also void.

In North Dakota, any release required of the franchisee will not apply to any liability Kitchen Solvers may have under the North Dakota Franchise Investment Law, according to Section 51-19-09. These stipulations ensure that franchisees' rights are protected under state laws, and any attempt to circumvent these protections through the franchise agreement is rendered ineffective. Therefore, the franchise laws will not apply if the franchisee is asked to sign a waiver that goes against the state franchise law.
