ent or your business governed by Paragraph 11 or renewal covered by Paragraph 4 is expressly conditioned upon your compliance with these requirements at the time of transfer or renewal without regard to the Maximum Modernization Amount.

You acknowledge and agree that the requirements of this subparagraph 5.E are both reasonable and necessary. If you fail to make any improvement or perform the maintenance listed above, we may, in addition to our other rights in this Agreement, effect such improvement or maintenance and you must reimburse us for the costs we incur.

F. Signage. If you have a showroom or your office is outside of your home, the outdoor signage at your location must comply with our specifications, which we may modify and change from time to time due to modifications to the System, including changes to the Trademarks. You

must make such changes to the outdoor signage as we require. Your costs for the signage will be included in the Maximum Modernization Amount under subparagraph 5.E.

However, if Kitchen Solvers requires the franchisee to change the trademarks due to a third-party claim of superior rights, Kitchen Solvers will reimburse the franchisee for any new signage deemed necessary, provided the franchisee has cooperated with any action Kitchen Solvers undertakes regarding the third-party claim.

Furthermore, franchisees are required to attend the annual Kitchen Solvers convention at their own expense and may be required to pay a registration fee. Failure to attend the annual convention without prior written approval from Kitchen Solvers results in a fee of $850 that the franchisee must pay to Kitchen Solvers. These reimbursement obligations highlight the importance of adhering to Kitchen Solvers' standards and requirements to avoid incurring additional costs.
