What rights does Kitchen Solvers reserve regarding the Technology Suite?

We require you, at your expense, to participate in our KITCHEN SOLVERS® web site on the internet as well as in any intranet system we designate.
We have the right to determine the content and use of our web site and our intranet system and will establish the rules under which franchisees will participate.
You may not separately register any domain
name or operate any web site containing any of the Trademarks without our written approval. At no time during the term of this Agreement, will you have a separate or a conflicting website or engage in another electronic media (including social media) representing us, KSLILLC, Kitchen Solvers franchise system or your Kitchen Solvers franchise. The only website approved is the website or landing page provided by us. We will retain all rights relating to our web site and our intranet system and may alter or terminate our web site or our intranet system without prior notice to you. Your general conduct on our web site, our intranet system or on other online communications and specifically your use of the Trademarks or any advertising on any web site or other online communications is subject to the provisions of this Agreement. You acknowledge that certain information obtained through your participation in our web site and our intranet system may be considered Confidential Information, including access codes and identification codes. Your right to participate in our web site and our intranet system or otherwise use the Trademarks or System on the internet or other online communications will terminate when this Agreement expires or terminates.

What This Means (2025 FDD)
According to Kitchen Solvers' 2025 Franchise Disclosure Document, Kitchen Solvers retains significant rights over its website and intranet system. As a franchisee, you are required to participate in Kitchen Solvers' website and intranet system at your own expense. Kitchen Solvers has the authority to determine the content and usage of these online platforms and will set the rules for franchisee participation.
Specifically, franchisees cannot register their own domain names or operate separate websites containing Kitchen Solvers' trademarks without written approval. The only approved website is the one provided by Kitchen Solvers. Kitchen Solvers retains all rights to its website and intranet system and can alter or terminate them without prior notice. Franchisees' online conduct, use of trademarks, and advertising are subject to the franchise agreement.
Furthermore, information obtained through the website and intranet system may be considered confidential, including access and identification codes. Upon termination or expiration of the franchise agreement, the franchisee's right to participate in these online platforms and use the trademarks online will also terminate. This ensures Kitchen Solvers maintains control over its brand and online presence, while franchisees must adhere to the franchisor's standards and guidelines for online activities.
