What This Means (2025 FDD)
According to Kitchen Solvers' 2025 Franchise Disclosure Document, the purpose of the Franchisee Acknowledgment/Compliance Certification is to ensure that prospective franchisees were not given any unauthorized, untrue, inaccurate, or misleading statements or promises during the franchise sales process. This certification aims to confirm that the franchisee understands the limitations on claims they can make regarding the offer, sale, and operation of the Kitchen Solvers franchise.
By requiring this certification, Kitchen Solvers seeks to protect itself from potential legal disputes arising from misunderstandings or misrepresentations made during the franchise sales process. It also serves to verify that the franchisee's decision to invest in a Kitchen Solvers franchise is based on their own independent investigation and not solely on representations made by the company's representatives or other franchisees that contradict the terms of the Franchise Agreement or disclosure documents.
However, the document specifies that residents of certain states (CA, HI, IL, IN, MD, MI, MN, NY, ND, RI, SD, VA, WA, WI) should not sign this statement. This may be due to specific state franchise laws that provide additional protections to franchisees, rendering the standard compliance certification either unnecessary or potentially conflicting with state regulations. Prospective franchisees should consult with a legal professional to understand their rights and obligations in their specific state.
Furthermore, the Compliance Certification emphasizes that the franchisee's answers are important and will be relied upon by Kitchen Solvers. The document also requires that if the franchisee is a corporation, partnership, limited liability company, or other entity, an officer and each of its principal owners must execute the acknowledgment, ensuring that all key stakeholders are aware of and agree to the terms and limitations outlined in the certification.
