What obligations of the Kitchen Solvers franchisee survive the termination or expiration of the franchise agreement?

According to the 2025 Kitchen Solvers Franchise Disclosure Document, several obligations of the franchisee survive the termination or expiration of the franchise agreement. Specifically, the franchisee remains liable for their indemnification obligations as specified in Subparagraph 10.B or under common law. This means that even after the agreement ends, the franchisee can still be held responsible for any losses, damages, or liabilities they caused during the term of the franchise agreement.

The franchisee also remains obligated pursuant to any applicable lease for their Business premises or otherwise, which by their very nature are intended to survive the expiration or termination of the Agreement. This indicates that if the franchisee has a lease agreement for their business location, the terms of that lease, including rent payments and other responsibilities, continue to apply even after the franchise agreement is no longer in effect.

Finally, the franchisee must comply with all noncompete covenants outlined in Subparagraph 10.D. This means that the franchisee is restricted from engaging in any competing business activities within a specified area and for a certain period of time after the termination or expiration of the franchise agreement. These noncompete terms are designed to protect Kitchen Solvers' market and brand integrity even after a franchisee leaves the system.
