What This Means (2025 FDD)
According to Kitchen Solvers' 2025 Franchise Disclosure Document, the term "Control Group" has a specific meaning when the Developer is one or more individuals. In this case, the Control Group refers to all of those individuals. This definition is important because it determines who is subject to certain obligations and liabilities under the Area Development Agreement.
Specifically, the FDD states that you and each of your owners must enter into a personal guaranty agreement. This means that each individual in the Control Group is personally responsible for the Developer's obligations to Kitchen Solvers. This is a significant commitment, as it puts the personal assets of each individual at risk if the Developer fails to meet its obligations under the Area Development Agreement.
This requirement is fairly standard in franchising, as franchisors typically seek personal guarantees from the owners of franchisee entities to ensure accountability and financial security. Prospective Kitchen Solvers developers should carefully consider the implications of providing a personal guarantee and consult with legal and financial advisors before signing the Area Development Agreement.
