You hereby acknowledge and agree that the Trademarks are our property and that your right to use the Trademarks is specifically conditioned upon the following terms and conditions:
A. Trademark Ownership. The Trademarks are our valuable property, and we are the exclusive owner of all right, title and interest in and to the Trademarks and all past, present or future goodwill of your Business conducted within the Territory that is associated with or attributable to the Trademarks. Your use of the Trademarks will inure to our benefit. You may not, during or after the term of this Agreement, engage in any conduct directly or indirectly that would infringe upon, harm or contest our rights in any of the Trademarks or the goodwill associated with the Trademarks, including any use of the Trademarks in a derogatory, negative, or other inappropriate manner in any media, including but not limited to print or electronic media.
- B. Trademark Use. You may only use the Trademarks in accordance with the terms of this Agreement and as set forth in the Manual. You may not use, or permit the use of, any other trademarks, trade names or service marks in connection with your Business. You must use the Trademarks only in connection with such products and services as we specify and only in the form and manner we prescribe in writing. You must comply with

What This Means (2025 FDD)
According to Kitchen Solvers' 2025 Franchise Disclosure Document, franchisees must adhere to specific standards and requirements regarding trademark usage and marketing. The Trademarks are the property of Kitchen Solvers, and the franchisee's right to use them is conditional. Franchisees can only use the Trademarks according to the franchise agreement and the Kitchen Solvers manual. They cannot use other trademarks, trade names, or service marks in connection with their Kitchen Solvers business. The Trademarks must be used only in connection with specified products and services and in the form and manner prescribed in writing by Kitchen Solvers.
Kitchen Solvers franchisees must promote and advertise their business in their territory and participate in local marketing and promotional programs established by Kitchen Solvers. Franchisees must spend a specified percentage of their gross sales on local and digital marketing, and they must use only marketing materials furnished, approved, or made available by Kitchen Solvers. These materials must be used only in the manner prescribed by Kitchen Solvers. Franchisees must submit marketing materials for approval, which will not be unreasonably withheld if the materials are accurate, dignified, and accurately depict the Kitchen Solvers Trademarks.
Furthermore, Kitchen Solvers requires franchisees to participate in their website and intranet system and determines the content and usage rules. Franchisees cannot register domain names or operate websites containing the Trademarks without written approval, and they cannot have conflicting websites or engage in electronic media representing Kitchen Solvers outside of the approved channels. Franchisees must also participate in and honor all designated, sponsored, and approved loyalty benefit programs established by Kitchen Solvers. These requirements ensure that franchisees present a consistent and compliant brand image to the public.
