You will not receive an exclusive territory. You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control.

Development Agreement: Development Area Rights

We may offer qualified candidates the right to enter into our form of Development Agreement (attached to this Disclosure Document as Exhibit C). If you enter into a Development Agreement with us, you will be granted the right and will undertake the obligation to develop multiple Franchised Businesses within your Development Area in accordance with your specified Development Schedule.

What This Means (2025 FDD)

According to Kitchen Solvers's 2025 Franchise Disclosure Document, franchisees do not receive an exclusive territory. While Kitchen Solvers grants the right to operate within a defined territory, the agreement does not guarantee exclusivity. The standard territory consists of a maximum of 85,000 owner-occupied households, but can extend to a maximum of 110,000 households if the franchisee pays an Additional Population Fee.

Kitchen Solvers will not establish a company-owned business or another franchise within the franchisee's territory, nor modify the territory without written permission, as long as the franchisee is in compliance with the Franchise Agreement. However, Kitchen Solvers retains several rights that impact territorial exclusivity. They may establish franchises or company-owned businesses under different brand names both within and outside the territory. They can also distribute products or services through alternative channels like mail order or the internet under any mark, including Kitchen Solvers.

Furthermore, Kitchen Solvers reserves the right to engage in agreements with Multi-Project Customers, even if those customers are located within a franchisee's territory. This means Kitchen Solvers can directly or indirectly provide services to customers needing 50 or more projects, such as apartment buildings or hotel chains, potentially competing with the franchisee. The franchisee's marketing efforts are also restricted, requiring prior approval for marketing targeted outside their territory, although general marketing that incidentally reaches outside the territory is permissible with franchisor approval.

The FDD also states that Kitchen Solvers may market the Kitchen Solvers business within the franchisee's territory. Other franchisee's marketing may reach the franchisee's territory if contained in a general publication. Overall, while Kitchen Solvers franchisees are granted a defined territory, they should be aware that this territory is not exclusive and they may face competition from other franchisees, company-owned outlets, or alternative distribution channels controlled by Kitchen Solvers.
