What This Means (2025 FDD)

According to Kitchen Solvers' 2025 Franchise Disclosure Document, franchisees are explicitly prohibited from using the Trademarks in any way that could be considered derogatory or negative. The FDD states that franchisees may not engage in any conduct that would infringe upon, harm, or contest Kitchen Solvers' rights to the Trademarks or the goodwill associated with them. This includes using the Trademarks in a derogatory, negative, or otherwise inappropriate manner across any media, whether print or electronic. This restriction applies both during and after the term of the Franchise Agreement.

This requirement ensures that the Kitchen Solvers brand maintains a consistent and positive image. Any negative or inappropriate use of the Trademarks by a franchisee could damage the brand's reputation and goodwill, affecting the entire franchise system. This clause protects Kitchen Solvers' investment in its brand identity and ensures that all franchisees contribute to upholding its value.

For a prospective Kitchen Solvers franchisee, this means understanding that they must adhere strictly to the brand guidelines and use the Trademarks only in a manner approved by the franchisor. Failure to comply with these standards could result in a breach of the Franchise Agreement and potential legal consequences. Franchisees should seek clarification from Kitchen Solvers regarding any uncertainties about appropriate Trademark usage to avoid unintentional violations.

This type of clause is standard in most franchise agreements, as franchisors need to protect their brand and ensure consistent representation across all franchise locations. Kitchen Solvers maintains control over its brand image and prevents franchisees from misusing the Trademarks in ways that could harm the overall business.
