What This Means (2025 FDD)
According to Kitchen Solvers' 2025 Franchise Disclosure Document, the Collateral Assignment of Lease references the 'Franchise Agreement' as the agreement where the franchisor grants the tenant (franchisee) the right to open and operate a Kitchen Solvers franchised business under the Kitchen Solvers system at the specified premises. This agreement is a critical component of the franchising relationship, outlining the obligations, rights, and responsibilities of both the franchisee and Kitchen Solvers. The franchisee's rights and interests in the lease are assigned as security for their obligations and Kitchen Solvers' rights under the Franchise Agreement. This assignment ensures that Kitchen Solvers has recourse in case the franchisee fails to meet their obligations.
The Collateral Assignment of Lease is made as a condition of entering into the Franchise Agreement. This means that before Kitchen Solvers will grant a franchise, the prospective franchisee must agree to assign their rights and interest in the lease to Kitchen Solvers. This assignment is a security measure to protect Kitchen Solvers' interests. The franchisee agrees to this arrangement to induce Kitchen Solvers to enter into the Franchise Agreement. This highlights the importance of the lease and premises to the operation of the Kitchen Solvers franchise.
The document specifies that the assignment of the lease is made in consideration of the promises contained within both the Collateral Assignment of Lease and the Franchise Agreement. This mutual consideration reinforces the legal binding nature of the agreements. The franchisee retains the right to possess the premises as long as they comply with the terms and conditions of the lease, until an 'Assignment Event' occurs as defined in the agreement. This means the franchisee can operate their Kitchen Solvers business as long as they adhere to the lease and Franchise Agreement terms.
