What This Means (2025 FDD)

Based on the 2025 Kitchen Solvers Franchise Disclosure Document excerpts, the term 'Developer Related Party' is not explicitly defined. However, the document does refer to 'Multi-Project Customers,' which could involve developers. Kitchen Solvers and its affiliates retain the right to negotiate agreements with Multi-Project Customers, potentially providing services directly or indirectly through franchisees or licensees, even within a franchisee's development area. Multi-Project Customers are defined as those contracting for fifty or more Kitchen Solvers service projects, including apartment/condominium building owners/managers, residential home builders/developers, and hotel chains.

Kitchen Solvers may choose to service these Multi-Project Customers directly or through an affiliate, or they may contract with a third party, including another Kitchen Solvers franchisee, to perform the services within a franchisee's development area without providing compensation to that franchisee. If a franchisee is selected to service a Multi-Project Customer, they must adhere to Kitchen Solvers' standards, specifications, and procedures and may be required to enter into a Multi-Project Customer Participation Agreement. Kitchen Solvers retains the right to set and modify the parameters for any Multi-Project Customer program, including the right to terminate a franchisee's participation at any time.

Prospective franchisees should clarify with Kitchen Solvers the specific definition and implications of 'Developer Related Party' and how it relates to Multi-Project Customers. Understanding the potential impact on their development area and the conditions under which Kitchen Solvers might engage with developers directly or through other parties is crucial for assessing the franchise opportunity.
