What This Means (2025 FDD)

According to the 2025 Kitchen Solvers Franchise Disclosure Document, the Franchise Agreement remains in effect, except for specific modifications outlined in addenda for certain states. These addenda address inconsistencies between the Franchise Agreement and state laws, such as those in New York, California, Maryland, Minnesota, Washington, and Wisconsin.

For example, the addenda may modify or delete provisions related to waivers of liability, releases, indemnification, and governing law to ensure compliance with state-specific franchise regulations. Some clauses, such as those requiring franchisees to waive exemplary and punitive damages or those mandating litigation outside of specific states, are explicitly amended or deleted to protect franchisees' rights under state laws. Additionally, certain acknowledgments or statements signed by franchisees may be disregarded if they conflict with state franchise laws.

Despite these modifications, the core principle is that the Kitchen Solvers Franchise Agreement remains in full force and effect unless expressly altered by the addenda. In case of any conflict between the addendum and the Franchise Agreement, the terms of the addendum will take precedence. This ensures that Kitchen Solvers franchisees are protected by state laws while still adhering to the overall framework of the franchise agreement.
