When are all amounts due to Kitchen Solvers (except the Initial Franchise Fee) due?

- D. Computations and Remittances; Application of Payments. All amounts due and owing hereunder, except the Initial Franchise Fee, must be computed at the end of each month's operation and you must pay the same to us on or before the 10th day of the following month, accompanied by the reports required by Subparagraph 8.G of this Agreement. You must certify the computation of said amounts in the manner and form we specify, and you must supply to us the supporting or supplementary materials as we may reasonably require to verify the accuracy of such remittances. You may not withhold payment of any amounts owed to us and hereby waive any and all existing and future claims and offsets against any amounts due us, which amounts must be paid when due. Notwithstanding any designation by you, we will be entitled to apply your payments against any amounts due us. We also may set off any amounts that may be held by us or our affiliates on your behalf or owed to you by us or our affiliates against amounts you owe to us or our affiliates.

What This Means (2025 FDD)
According to Kitchen Solvers's 2025 Franchise Disclosure Document, all amounts owed to Kitchen Solvers, with the exception of the Initial Franchise Fee, must be calculated at the close of each month of operation. Franchisees are then required to remit these payments to Kitchen Solvers on or before the 10th day of the following month. This payment must be accompanied by the reports as specified in Subparagraph 8.G of the Franchise Agreement.
Kitchen Solvers requires franchisees to certify the computation of these amounts in a specified manner and form. Franchisees must also provide any supporting or supplementary materials that Kitchen Solvers may reasonably request to verify the accuracy of the payments. This ensures transparency and allows Kitchen Solvers to confirm that all financial obligations are being met according to the franchise agreement.
The franchise agreement explicitly states that franchisees are not permitted to withhold payment of any amounts owed to Kitchen Solvers. Franchisees waive any existing or future claims and offsets against these amounts, reinforcing the obligation to pay when due. Kitchen Solvers retains the right to apply payments against any amounts due, regardless of any designation made by the franchisee. Kitchen Solvers can also offset any amounts held by them or their affiliates on behalf of the franchisee, or owed to the franchisee by Kitchen Solvers or their affiliates, against amounts the franchisee owes to Kitchen Solvers or their affiliates.
