After the Kitchen Solvers agreement expires, for how long am I restricted from participating in a Competitive Business?

During the two (2) year period after expiration or termination of this Agreement, you and your owners, officers and agents will not directly or indirectly participate as an owner, director, partner, officer, franchisee, employee, consultant, advisor, salesperson, distributor, or agent or serve in any other capacity in any Competitive Business that is located: (a) anywhere in the Development Area; (b) within a twenty-five (25) mile radius of the Development Area; (c) within any other KITCHEN SOLVERS® franchisee's territory or within any area developer's development area; or (d) within twenty-five (25) mile radius of another franchisee's territory or another area developer's development area.

What This Means (2025 FDD)

According to Kitchen Solvers' 2025 Franchise Disclosure Document, franchisees are subject to certain non-compete restrictions both during the term of the agreement and after its expiration or termination. During the term of the agreement, the franchisee and their owners, officers, and agents are prohibited from participating in any Competitive Business. A Competitive Business is defined as any kitchen and/or bathroom remodeling business, cabinet refacing business, or any business selling similar products and services to Kitchen Solvers, including businesses that franchise or license such operations.

Following the expiration or termination of the Kitchen Solvers Franchise Agreement, the franchisee and their owners, officers, and agents are restricted from participating in a Competitive Business for a period of two years. This restriction applies to any Competitive Business located (a) anywhere in the Development Area; (b) within a twenty-five (25) mile radius of the Development Area; (c) within any other KITCHEN SOLVERS® franchisee's territory or within any area developer's development area; or (d) within twenty-five (25) mile radius of another franchisee's territory or another area developer's development area.

Additionally, for a period of two years after the agreement ends, franchisees are prohibited from participating in any franchise system that offers or sells the right to develop, open, or operate Competitive Businesses anywhere in the United States. These non-compete covenants are designed to protect Kitchen Solvers' trade secrets, confidential information, and customer relationships. The FDD also states that the restricted periods will be extended by the amount of time the franchisee is in violation of their obligations. Kitchen Solvers may also require written non-compete and confidentiality agreements from the franchisee's owners, officers, directors, employees, and agents.
