Does the Kitchen Solvers Addendum modify the entire Franchise Agreement?

According to the 2025 Kitchen Solvers Franchise Disclosure Document, the Addendum to the Franchise Agreement does not modify the entire agreement. Instead, it specifically amends certain provisions while leaving the remainder of the agreement intact.

The Addendum states that if any terms in the Franchise Agreement are inconsistent with the stipulations outlined in the Addendum, then those specific terms are amended. This ensures compliance with state-specific laws and regulations, such as those in New York, Maryland, Illinois, California, and Minnesota. For example, the Illinois Addendum addresses the deferral of initial franchise fees due to Kitchen Solvers' financial condition, and the Minnesota Addendum clarifies termination and nonrenewal rights.

However, the Addendum also explicitly states that "Except as expressly modified by this Addendum, the Franchise Agreement remains unmodified and in full force and effect." This means that only the parts of the agreement directly addressed by the Addendum are changed, and all other sections remain as they were originally written. This approach allows Kitchen Solvers to comply with varying state laws without having to rewrite the entire Franchise Agreement for each state.
