What This Means (2024 FDD)

According to the 2024 Kidokinetics Franchise Disclosure Document, with the exception of what is stated above, the following applies to the franchisor, its predecessor, a person identified in Item 2, or an affiliate offering franchises under the franchisor's principal trademark: No such party has been convicted of a felony or pleaded nolo contendere to a felony charge, or within the 10-year period immediately preceding the application for registration, has been convicted of or pleaded nolo contendere to a misdemeanor charge or has been the subject of a civil action alleging: violation of a franchise, antifraud, or securities law; fraud; embezzlement; fraudulent conversion or misappropriation of property; or unfair or deceptive practices or comparable allegations.

This statement indicates that, other than any exceptions specifically disclosed elsewhere in the FDD, no party associated with Kidokinetics (including the franchisor, its predecessors, individuals listed in Item 2, or affiliates offering franchises under the Kidokinetics trademark) has faced certain legal issues within the 10 years before the franchise registration application. These issues include felony convictions or pleading no contest to felony charges, misdemeanor convictions or pleading no contest to misdemeanor charges, or being subject to civil actions alleging violations of franchise, antifraud, or securities laws, fraud, embezzlement, fraudulent conversion or misappropriation of property, or unfair or deceptive practices.

For a prospective franchisee, this is a reassuring disclosure. It suggests that the key figures and the Kidokinetics organization itself have a clean legal record regarding serious financial and ethical misconduct, at least within the scope of the described offenses and time frame. However, it is crucial to carefully review the entire FDD, including Item 3 and any related exhibits, to identify any 'exceptions' that might apply. A prospective franchisee should also consider conducting their own independent background checks on the individuals listed in Item 2 to verify this information.
