Franchisor's affiliate has developed the KIDOLINK business management software, for which Franchisor has the contractual right to sublicense, to be utilized by Franchisee in connection with the Franchised Business ("KIDOLINK Software"). The KIDOLINK software provides assistance with the management of client leads and data, sales records and documentation, inventory control, marketing efforts, administrative matters, and customer service for Franchisee and Franchisee's employees.

According to Kidokinetics's 2024 Franchise Disclosure Document, the KIDOLINK software is designed to assist franchisees with various aspects of managing their business. Specifically, it helps with managing client leads and data, maintaining sales records and documentation, controlling inventory, coordinating marketing efforts, handling administrative tasks, and providing customer service for both the franchisee and their employees.
The KIDOLINK software is considered proprietary, and Kidokinetics retains ownership of all data and information input and stored within it. Franchisees are granted a limited license to use the software solely for the direct operation of their franchised business during the term of the Franchise Agreement. Franchisees are required to use current versions of the software and must continue using it unless notified otherwise by Kidokinetics.
Kidokinetics can include a feature that disables the KIDOLINK Software if a franchisee materially breaches the agreement or fails to submit required reports or payments. Upon termination of the license, franchisees must return or dispose of all copies of the software and its documentation as instructed by Kidokinetics. Franchisees are also required to use any system-wide computer network, intranet, or extranet system that Kidokinetics implements for tasks such as submitting reports, accessing the operations manual, downloading advertising materials, and communicating with Kidokinetics and other franchisees.
