Answer from 2024 FDD Document

The Illinois Attorney General's Office has imposed the deferral requirement because of our financial condition. Item 5 and Item 7 of the FDD and Section 5.1 of the Franchise Agreement are hereby revised to state that payment of all initial fees, including the Franchise Fee, shall be deferred until after all of the Franchisor's initial obligations are complete and the Franchise is open for business.

What This Means (2024 FDD)

According to Kidokinetics's 2024 Franchise Disclosure Document, the Illinois Attorney General's Office has mandated a deferral of initial fees due to the franchisor's financial condition. This means that in Illinois, franchisees are not required to pay any initial fees, including the Franchise Fee, until Kidokinetics has fulfilled all of its pre-opening obligations and the franchise is open for business. This revision specifically affects Item 5 and Item 7 of the FDD, which detail fees, and Section 5.1 of the Franchise Agreement.

For prospective Kidokinetics franchisees in Illinois, this deferral offers a significant financial advantage. It reduces the upfront investment required to start the franchise, allowing franchisees to conserve capital until the business is operational. This can be particularly beneficial for managing cash flow during the initial setup phase.

However, it is important to note that this deferral is specific to Illinois and is a result of the Attorney General's intervention due to Kidokinetics's financial situation. Franchisees in other states may not have the same benefit and should refer to the specific addenda for their state to understand the fee payment terms. This situation highlights the importance of carefully reviewing the state-specific amendments to the FDD, as they can significantly alter the standard franchise agreement terms.

It is also crucial for potential franchisees to understand the nature of Kidokinetics's financial condition that led to this deferral. While the deferral provides immediate financial relief, it may also indicate underlying financial challenges within the company. Prospective franchisees should conduct thorough due diligence to assess the long-term stability and viability of the Kidokinetics franchise system before making a final investment decision.
