What This Means (2024 FDD)
According to Kidokinetics's 2024 Franchise Disclosure Document, the non-competition covenants apply to the franchisee, their principals, and their spouses. During the term of the franchise agreement, these parties are restricted from engaging in activities that could harm the Kidokinetics business, such as diverting customers to competitors or participating in competing businesses. These restrictions are detailed in Section 18.5.1 of the Franchise Agreement.
After the franchise is terminated or expires, the non-competition covenants continue for 24 months. During this period, the franchisee, their principals, and their spouses are prohibited from engaging in competing businesses within a 20-mile radius of the former Kidokinetics location and other Kidokinetics businesses. However, if a court finds the 20-mile radius too broad, the restricted territory may be reduced to a 10-mile radius. These post-termination restrictions are outlined in Section 18.5.2 of the Franchise Agreement.
These non-competition agreements are fairly standard in franchising to protect the brand and other franchisees in the system. A prospective Kidokinetics franchisee should carefully review Sections 18.5.1 and 18.5.2 of the Franchise Agreement to fully understand the scope and duration of these restrictions, as well as the geographic limitations, both during the franchise term and after termination or expiration.
