What This Means (2024 FDD)
According to Kidokinetics's 2024 Franchise Disclosure Document, the "Marks" are defined as the logotypes, service marks, and trademarks currently or in the future used in the operation of a Kidokinetics business. This includes "KIDOKINETICS" and any other trademarks, service marks, or trade names that Kidokinetics designates for use by its businesses. The definition extends to any distinctive trade dress used to identify a Kidokinetics business, whether existing now or created in the future.
This definition is important for prospective franchisees because it clarifies what proprietary branding elements are licensed to them as part of the franchise agreement. Franchisees are granted the right to use these Marks to operate their Kidokinetics business, but they must adhere to the franchisor's guidelines and standards. Unauthorized use of the Marks can lead to a breach of contract, as stated in Item 22, section 16.2.15, which lists "making any unauthorized use of the Marks or other Intellectual Property" as a cause for default.
Kidokinetics retains significant control over the use of its Marks. Franchisees cannot use the Marks as part of their corporate or legal name without prior approval from Kidokinetics. They must also identify themselves as independent franchisees in conjunction with any use of the Intellectual Property, including on invoices, order forms, receipts, and contracts. Furthermore, any merchandise utilizing the Marks must be approved by Kidokinetics in writing before being sold by the franchisee. This control ensures brand consistency and protects the value of the Kidokinetics brand.
The license granted to franchisees for the Marks is nonexclusive, meaning Kidokinetics retains the right to use the Marks themselves, grant other licenses for the Marks, and develop other systems using the Marks or similar proprietary marks. This is a standard practice in franchising, allowing the franchisor to expand and evolve the brand while maintaining control over its intellectual property. Franchisees should be aware of these conditions and understand that their rights to use the Marks are subject to these limitations.
