Does a Kidokinetics franchisee acquire ownership rights in the KIDOLINK Software?

According to Kidokinetics's 2024 Franchise Disclosure Document, franchisees do not acquire ownership rights in the KIDOLINK Software. The agreement specifies that Kidokinetics grants franchisees a limited, non-exclusive license to use the software during the term of the Franchise Agreement. This license is personal, non-assignable, and non-transferable, meaning the franchisee cannot transfer the right to use the software to someone else.

The Kidokinetics franchisee is explicitly prohibited from customizing the KIDOLINK Software. The franchisee can only use the software for internal operations directly related to their Kidokinetics franchise. They cannot make the software available to others, except as specifically allowed. Franchisees are also restricted from reverse engineering, decompiling, disassembling, or creating derivative works from the KIDOLINK Software.

Upon termination of the franchise agreement, the Kidokinetics franchisee must return or dispose of all physical copies of the KIDOLINK Software and its documentation as instructed by Kidokinetics. They must also remove all copies from their computers and storage media and provide written certification of compliance upon request. Furthermore, all data and information input and stored in the KIDOLINK Software is the sole and exclusive property of Kidokinetics, licensed to the franchisee only for the term of the agreement.
