What This Means (2025 FDD)

Based on the 2025 Franchise Disclosure Document, certain states require that the Franchise Disclosure Document be registered or filed with the state, or be exempt from registration. Specifically, California, Hawaii, Illinois, Indiana, Maryland, Michigan, Minnesota, New York, North Dakota, Rhode Island, South Dakota, Virginia, Washington, and Wisconsin have such franchise laws.

It is important to note that Exhibit A of the Franchise Disclosure Document identifies the appropriate state agency to which violations of federal and state law should be reported. This exhibit would provide a list of State Administrators/Agents for Service, which could be useful for a prospective franchisee.

Prospective franchisees should consult Exhibit A and any state-specific addenda within the FDD to understand the specific requirements and exemptions related to franchise registration and disclosure in their state. This will help ensure compliance with all applicable laws and regulations during the franchise sales process.
