What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, a franchisee can terminate the franchise agreement if Itan defaults on the agreement and fails to correct the default in a timely manner. For an Area Development Agreement (ADA), the franchisee can terminate the agreement under any grounds permitted by law.

This means that if Itan violates the terms of the franchise agreement, such as failing to provide necessary support or infringing on the franchisee's territory, the franchisee has the right to end the agreement. The franchisee must provide Itan with a notice of the default and allow them a reasonable period to fix the issue. If Itan fails to do so, the franchisee can then terminate the agreement.

For an ADA, the franchisee has broader rights to terminate the agreement based on legal grounds. This could include situations where there are breaches of contract, misrepresentation, or other legal violations that allow for termination under applicable laws. It is important for prospective franchisees to understand the specific legal grounds for termination in their jurisdiction and to seek legal advice if they believe Itan has violated the terms of the agreement or applicable laws.
