What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, Minnesota Statute Section 80C.14, Subds. 3, 4 and 5, requires that consent to the transfer of a franchise will not be unreasonably withheld. This means that Itan cannot arbitrarily deny a franchisee's request to transfer their franchise to a qualified buyer. This provision protects franchisees in Minnesota from being unfairly restricted in their ability to sell their business.

This protection is significant for prospective Itan franchisees in Minnesota. It ensures that if they decide to sell their franchise, Itan must have a legitimate reason to deny the transfer. Common reasons for denying a transfer could include the buyer's lack of financial stability or business experience, or failure to meet Itan's standards. However, Itan cannot withhold consent based on unreasonable or discriminatory factors.

It is important for potential franchisees to understand the specific conditions under which Itan may withhold consent, even if those conditions must be reasonable. Franchisees should carefully review the franchise agreement and any related documents to fully understand their rights and obligations regarding franchise transfers in Minnesota. Consulting with a franchise attorney can provide further clarity and guidance on this matter.
