If you lease the Premises, you must negotiate with your landlord, if necessary, to modify your lease in order to provide you with a term of at least 10 years from the Conversion Date.

You must also cause your landlord to execute our required Lease Addendum.

We may require that you complete these steps prior to execution of the Franchise Agreement and this Addendum.

At a minimum, we may require execution of the Lease Addendum as a condition to us issuing our Certificate of Conversion Completion pursuant to §5 of this Addendum.

What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, if a franchisee leases their premises, Itan requires the landlord to execute Itan's required Lease Addendum. The franchisee may need to negotiate with the landlord to modify the lease to provide a term of at least 10 years from the Conversion Date. Itan may require completion of these steps before the execution of the Franchise Agreement and the addendum. At a minimum, Itan may require execution of the Lease Addendum as a condition to issuing their Certificate of Conversion Completion.

This Lease Addendum is among Itan Franchising, Inc. (Franchisor), the Landlord, and the Tenant. The Lease Addendum grants certain rights to Itan to protect its interests under the Franchise Agreement. These rights include receiving copies of default notices sent to the tenant, the right to cure defaults, the right to assign the lease, and the right of first refusal to lease the premises upon expiration or termination of the lease.

The Lease Addendum also states that the landlord acknowledges Itan's rights under the Franchise Agreement and agrees that the expiration or termination of the Franchise Agreement constitutes a default under the lease, giving Itan the right to cure such default. The landlord also agrees not to amend, modify, supplement, terminate, renew, or extend the lease without Itan's written consent. This addendum ensures that Itan has certain protections and rights related to the leased premises, which is a common practice in franchising to protect the brand and ensure continuity of operations.
