- 12.2. General Representations. You and your Owners jointly and severally represent and warrant to us that: (a) other area developers may operate under different forms of agreement and our obligations and rights with respect to area developers differs materially in certain circumstances; and (b) we may negotiate terms or offer concessions to other area developers and we have no obligation to offer you the same or similar negotiated terms or concessions.

What This Means (2025 FDD)
According to Itan's 2025 Franchise Disclosure Document, area developers must acknowledge that Itan's obligations and rights with respect to other area developers may differ materially in certain circumstances. This acknowledgement is part of the general representations that area developers make to Itan.
This means that the terms of the area development agreement you sign with Itan might not be the same as those offered to other area developers. Itan retains the right to negotiate different terms or offer concessions to other developers without being obligated to extend the same terms to you.
As a prospective Itan area developer, it is important to understand that the specific terms of your agreement are unique to your situation and negotiation with Itan. You cannot assume that you will receive the same benefits or terms as other developers in the Itan system. This clause protects Itan's flexibility in managing its franchise network but also introduces an element of uncertainty for individual developers.
