- 14.5. Employees. All employees, officers, directors, independent contractors and other Persons associated with you or your Salon must sign and send us a Confidentiality Agreement before accessing our Confidential Information.
Any Person who signs a Brand Protection Agreement need not sign a Confidentiality Agreement.
You must: (a) use best efforts to ensure these individuals comply with the Brand Protection Agreements and Confidentiality Agreements, as applicable; (b) immediately notify us of any breach that comes to your attention; and (c) reimburse all expenses we incur to enforce a Brand Protection Agreement or Confidentiality Agreement, including attorneys' fees and court costs.

Individuals must take all reasonable steps to prevent unauthorized use or disclosure and must cease using the information immediately upon termination of their association with the franchisee. Itan defines confidential information broadly to include Know-How, Business Data, information in the Manual or comprising the System, terms of the Franchise Agreement, and various concepts, ideas, trade secrets, financial and marketing strategies, and other documents designated as confidential or reasonably considered confidential. The agreement acknowledges that protecting this information is crucial to prevent damage to the franchise system. Franchisees must use their best efforts to ensure compliance with these agreements and notify Itan of any breaches, and they are responsible for reimbursing Itan's expenses in enforcing these agreements.
