What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, the Confidentiality Agreement is designed to protect Itan's intellectual property and confidential information. It is used to prevent the misuse of this information, which Itan considers vital to the success of both the franchisor and its franchisees. The agreement is signed by employees, officers, directors, independent contractors, and other persons associated with the franchisee or their salon before they access Itan's confidential information. This agreement ensures these individuals understand their obligations to protect Itan's sensitive business data and trade secrets.

The Confidentiality Agreement requires individuals to refrain from using intellectual property or confidential information outside the scope of operating the franchisee's salon. It mandates maintaining the confidentiality of this information at all times and prohibits unauthorized copying of documents containing confidential details. Individuals must take all reasonable steps to prevent unauthorized use or disclosure and must cease using the information immediately upon termination of their association with the franchisee. The agreement also covers assigning rights to any improvements developed by the individual to Itan.

Itan defines confidential information broadly to include Know-How, Business Data, information in the Manual or comprising the System, terms of the Franchise Agreement, and various concepts, ideas, trade secrets, financial and marketing strategies, and other documents designated as confidential or reasonably considered confidential. The agreement acknowledges that protecting this information is crucial to prevent damage to the franchise system. Franchisees must use their best efforts to ensure compliance with these agreements and notify Itan of any breaches, and they are responsible for reimbursing Itan's expenses in enforcing these agreements.
