How will I operate my Itan Salon as a franchisee?

If we award you a franchise, you must sign the form of franchise agreement attached to this Disclosure Document as EXHIBIT "C" (the "Franchise Agreement"). We refer to the franchised business you purchase as your "Business" or your "Salon". The Franchise Agreement grants you a license to use certain service marks, trademarks, trade names and logos, including the service marks iTAN® and iTAN SUN SPRAY SPA® (collectively, the "Marks"). The Marks also include our distinctive trade dress used to identify a Salon or the products it sells. The Franchise Agreement also grants you a license to use the system we developed for the operation of a Salon (the "System"). Our confidential Brand Standards Manual (the "Manual") describes the operational aspects of a Salon. You will operate your Salon as an independent business using the Marks, the System, the information in the Manual, and the support, guidance and other methods and materials we provide.
Salons offer sun tanning, spray-on tanning, various light therapies, salt therapy and other beauty and wellness services, which currently include FIT Bodywrap®, aqua massage, teeth whitening, salt therapy and photo light therapy. Salons also sell approved retail items, including our proprietary lines of lotions and skincare products.
Salons currently operate under a membership model. Customers who choose to purchase a membership ("members") enjoy access to an unlimited number of tanning or spa sessions at any Salon. Members also receive discounts on retail products purchased from Salons. All Salons must honor memberships and the associated benefits and privileges even if the member purchased their membership from a different Salon.
You must comply with all federal and state licensing and other regulatory requirements relating to the operation of your Salon. A federal law imposes a 10% national sales tax on UV tanning services. The Food and Drug Administration (FDA) regulates the labeling of tanning equipment and places limits on the amount of time a person can be exposed to UV tanning. The FDA also requires adherence to certain specifications for timers and bulbs and restricts certain representations about indoor tanning services. Many state and local governments have also implemented laws and regulations to regulate businesses offering indoor tanning services, including laws that establish a minimum age requirement for persons who use indoor tanning services. In California, customers must be 18 or older to receive UV tanning services. There may be other laws and regulations that apply to your Salon. We strongly suggest you investigate these laws before buying this franchise.
