We provide access to our confidential information through the Manual, training programs and other periodic support and guidance. You may use this information solely for purposes of developing, marketing and operating your Salon in compliance with the Franchise Agreement and Manual. You may not disclose our confidential information to anyone other than your employees, on a need-to-know basis, without our prior permission. We consider all information in the Manual to be confidential. All your employees and representatives (other than general managers) must sign the Confidentiality Agreement attached to the Franchise Agreement as ATTACHMENT "G" before you give them access to our confidential information.
What This Means (2025 FDD)
According to Itan's 2025 Franchise Disclosure Document, franchisees have specific obligations regarding the confidentiality of proprietary information, especially concerning the training and support programs. Itan provides access to confidential information through the Manual, training programs, and other support. Franchisees can only use this information to develop, market, and operate their salon in line with the Franchise Agreement and Manual.
Itan franchisees cannot disclose confidential information to anyone other than their employees on a need-to-know basis, and only with prior permission from Itan. All employees and representatives (excluding general managers) must sign a Confidentiality Agreement (Attachment "G" to the Franchise Agreement) before accessing confidential information. This agreement ensures that employees understand their obligations to protect Itan's proprietary information.
The definition of Confidential Information is broad, including Know-How, Business Data, information in the Manual or System, and the terms of the Franchise Agreement. Know-How includes trade secrets and proprietary information related to the design, construction, marketing, and operation of an Itan salon, such as architectural plans, site selection criteria, methods, policies, supplier lists, and marketing strategies. Franchisees must promptly notify Itan if they discover any unauthorized use of proprietary information or copyrighted materials.
However, the confidentiality obligations do not extend to information that is already publicly available, rightfully in the franchisee's possession before disclosure by Itan, independently developed by the franchisee, or rightfully obtained from a third party without breaching a confidentiality covenant. This ensures that franchisees are not unduly restricted from using information they already possess or that is generally known.
