What This Means (2025 FDD)
Based on the 2025 FDD, the document does not specify the consequences if an Itan franchisee makes a material misrepresentation to Itan. The document does outline the definition of terms such as 'Franchisee,' 'Intellectual Property,' and 'Confidential Information,' but it does not elaborate on the repercussions of a franchisee's misrepresentation.
While the FDD details various aspects of the franchise agreement, including intellectual property rights and confidentiality obligations, it lacks explicit information regarding the handling of material misrepresentations made by a franchisee. The document does state that if Itan does not deliver the disclosure document on time, or if it contains a false or misleading statement or a material omission, a violation of federal and state law may have occurred.
Therefore, a prospective Itan franchisee should seek clarification from the franchisor regarding the specific actions or penalties that Itan might take in the event of a material misrepresentation. This information is crucial for understanding the full scope of the franchisee's responsibilities and potential liabilities under the franchise agreement.
