What happens if an Itan franchisee fails to secure a lease?
Itan Franchise · 2025 FDDAnswer from 2025 FDD Document
If you lease the Premises, you must negotiate with your landlord, if necessary, to modify your lease in order to provide you with a term of at least 10 years from the Conversion Date.
You must also cause your landlord to execute our required Lease Addendum.
We may require that you complete these steps prior to execution of the Franchise Agreement and this Addendum.
At a minimum, we may require execution of the Lease Addendum as a condition to us issuing our Certificate of Conversion Completion pursuant to §5 of this Addendum.

What This Means (2025 FDD)
According to Itan's 2025 Franchise Disclosure Document, if a franchisee leases their premises, they must negotiate with the landlord to ensure the lease term is at least 10 years from the conversion date. The franchisee is also required to have the landlord execute Itan's required Lease Addendum. Itan may require these steps to be completed before the Franchise Agreement and its addendum are executed. At a minimum, Itan may require the execution of the Lease Addendum before issuing a Certificate of Conversion Completion.
This requirement ensures that Itan has some control over the lease terms and protects its interests in the location. By requiring a minimum 10-year lease and the execution of a Lease Addendum, Itan aims to secure the franchisee's commitment to the location and maintain consistent standards across all franchised locations. This also gives Itan some recourse in case the franchisee defaults on the lease, as outlined in Item 23.
For a prospective Itan franchisee, this means that securing a suitable lease with the required terms is a critical step in the franchising process. Failure to negotiate these terms with the landlord could delay or even prevent the opening of the Itan salon. The franchisee should be prepared to work closely with Itan and the landlord to ensure that all lease requirements are met. It is also important to understand the implications of the Lease Addendum and how it affects the franchisee's rights and obligations under the lease.
It is common in franchising for franchisors to have specific requirements regarding the lease agreement to protect their brand and ensure the stability of the franchise location. However, the specific terms and conditions can vary significantly between different franchise systems. Therefore, prospective franchisees should carefully review the lease requirements outlined in the Franchise Disclosure Document and seek legal advice to fully understand their obligations.
