Alternative Channels of Distribution include sales through direct marketing, retail stores that do not operate under Itan's marks, and sales made at wholesale. Franchisees are not entitled to any compensation for sales that take place through Alternative Channels of Distribution. This further emphasizes the importance of understanding the competitive landscape and potential revenue streams outside of the traditional salon setting.
While franchisees can market and advertise outside of their territory, they must comply with Itan's policies and procedures and cannot engage in targeted marketing directed into any territory assigned to Itan, its affiliate, or another franchisee, unless it is part of an advertising cooperative. This restriction aims to balance the franchisees' ability to attract customers with the need to protect the territories of other franchisees and Itan's own interests.
