Is Itan franchisees subject to competition from other franchisees?

You will not receive an exclusive territory or development territory. You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control.
We reserve the right to sell, and license others to sell, competitive or identical goods and services (either under the Marks or different trademarks) through Alternative Channels of Distribution, including within your territory and development territory, if applicable. An "Alternative Channel of Distribution" means any channel of distribution other than retail sales made to customers while present at a Salon. Examples of Alternative Channels of Distribution include:
- sales through direct marketing, such as over the Internet or through catalogs or telemarketing
- sales through retail stores that do not operate under the Marks, such as grocery stores, convenience stores, spas and tanning salons (other than spas or tanning salons operating under the Marks)
sales made at wholesale
You are not entitled to any compensation for sales that take place through Alternative Channels of Distribution.
We reserve the right to acquire, or be acquired by, another business or chain that may sell competitive or identical goods or services, and those businesses may be converted into Salons operating under the Marks regardless of their location (an "Acquisition"). Any such acquired or converted businesses may be located within your territory and development territory, if applicable.

Additionally, Itan retains the right to operate or license others to operate outlets that they own, or through other channels of distribution or competitive brands that Itan controls.

Franchisees need to consider that other Itan locations or alternative distribution channels could draw customers away from their salon. The FDD specifies that "Alternative Channels of Distribution" include sales through direct marketing (like the Internet or catalogs), retail stores not branded as Itan (such as grocery stores or spas), and wholesale sales. Franchisees are not entitled to any compensation for sales that take place through these alternative channels of distribution.
Furthermore, Itan reserves the right to acquire other businesses, even those that are competitive or offer identical services, and convert them into Itan salons regardless of their location. These acquired or converted businesses could be located within a franchisee's territory, increasing competition. While franchisees can market and advertise outside their territory, they must adhere to Itan's policies and avoid targeted marketing into other franchisees' territories unless it's part of an advertising cooperative.
Prospective Itan franchisees should carefully evaluate the potential for competition in their desired location and consider how Itan's alternative distribution channels and acquisition policies might affect their business. Understanding these competitive factors is crucial for developing a sound business plan and assessing the overall viability of the franchise.
