What This Means (2025 FDD)
According to Itan's 2025 Franchise Disclosure Document, if the franchisee is a business entity, they must ensure that Part A of ATTACHMENT "A" includes a complete and accurate list of all Owners. Upon request from Itan, the franchisee must provide a resolution from the Franchisee Entity authorizing the execution of the Franchise Agreement, a copy of the entity's organizational documents, and a current Certificate of Good Standing. Additionally, all Owners and their spouses are required to sign a Franchise Owner Agreement.
This requirement ensures that Itan has a clear understanding of the ownership structure of each franchise. By maintaining an accurate list of Owners and requiring their agreement to the terms, Itan aims to ensure accountability and compliance with the franchise agreement. The organizational documents and Certificate of Good Standing help Itan verify the legal standing and authority of the franchisee entity.
For a prospective Itan franchisee, this means being prepared to provide comprehensive documentation about the ownership of their business entity. It also means ensuring that all Owners and their spouses are willing to sign the Franchise Owner Agreement, indicating their understanding and acceptance of the franchise terms. Failure to comply with these requirements could potentially lead to issues with the franchise agreement or its enforcement.
