What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, after the lease and Lease Addendum are fully executed, a franchisee must re-image, remodel, renovate, refurbish, and modernize the premises at their sole expense. This includes complying with all standards and specifications in the Manual, such as the required design and layout, construction materials, furniture, fixtures and equipment, interior and exterior signage, and trade dress. However, Itan may limit the required remodeling to painting and lightweight items to limit the required conversion costs.

Additionally, the franchisee must hire a licensed and bonded architect to prepare construction plans to convert the premises into an Itan salon. These construction plans must incorporate the minimum modifications and improvements set forth in Attachment C to the Conversion Addendum, satisfy all required standards and specifications in the Manual, and comply with all laws, including the Americans with Disabilities Act, building codes, permits, and lease requirements and restrictions applicable to the premises. The franchisee must obtain Itan's approval of the construction plans within 90 days after the Effective Date of the Conversion Addendum.

Once the construction plans are approved by Itan, the franchisee must construct and equip the premises according to the approved plans and the specifications in the Manual. They must also purchase (or lease) and install all signage, Technology Systems, equipment, fixtures, and other items Itan requires and incorporate all required trade dress. Throughout the construction process, the franchisee must maintain the minimum general liability and property damage insurance required by the Manual. Itan will not issue a Certificate of Conversion Completion until the premises meet all required standards and specifications, the construction, build-out, and layout are approved, all required equipment, furniture, fixtures, decorations, and signage are purchased and installed, and all required insurance is obtained with Itan named as an insured on the policies.
