3. BRAND PROTECTION COVENANTS.

  • (a) Intellectual Property and Confidential Information. What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, franchisees must immediately cease using Itan's intellectual property and confidential information upon termination of their franchise agreement. This obligation extends to refraining from using the intellectual property or confidential information in any capacity or for any purpose other than the operation of the Itan Salon in compliance with the Franchise Agreement and Manual. Franchisees must also continue to maintain the confidentiality of the confidential information even after the agreement ends.

This means that once the franchise agreement is terminated, the franchisee can no longer use Itan's trademarks, service marks, trade names, logos, copyrighted materials, or any other element of the Itan system. They also cannot disclose or use any confidential information, such as the brand standards manual, trade secrets, or operating procedures. The definition of Intellectual Property includes Business Data, Copyrighted Materials, Improvements, Know-how, Marks and System. The definition of System includes distinctive interior and exterior design, décor, signage, color scheme and other trade dress elements; proprietary retail products and equipment; high quality tanning services, technology and techniques; comprehensive training programs; advertising and marketing strategies; merchandising strategies; and operating system.
