What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, franchisees can disclose confidential information to their employees on a need-to-know basis without prior permission from Itan. However, all employees and representatives (excluding general managers) must sign the Confidentiality Agreement attached to the Franchise Agreement as ATTACHMENT "G" before being granted access to Itan's confidential information.

This policy ensures that while franchisees can share necessary information for operational purposes, there are safeguards in place to protect Itan's proprietary information. The requirement for employees to sign a confidentiality agreement underscores the importance Itan places on maintaining the secrecy of its business practices, manuals, and other sensitive data. This is a common practice in franchising to prevent the leakage of trade secrets and maintain a competitive advantage.

It is important for prospective Itan franchisees to understand the scope of 'Confidential Information,' which includes Know-How, Business Data, information in the Manual or comprising the System, terms of the Franchise Agreement, and other concepts, ideas, trade secrets, financial information, marketing strategies, and more. Franchisees must also promptly notify Itan if they discover any unauthorized use of proprietary information or copyrighted materials. This obligation highlights the franchisee's role in safeguarding Itan's intellectual property and maintaining the integrity of the franchise system.

Failure to comply with these confidentiality requirements could result in legal repercussions and damage the Itan brand. Therefore, franchisees must implement robust internal controls to ensure that confidential information is only accessible to authorized personnel and that all employees are fully aware of their obligations under the Confidentiality Agreement.
