What This Means (2025 FDD)

Based on the 2025 Itan Franchise Disclosure Document, the franchisee does not acquire any goodwill in the intellectual property. The franchisee is granted the right to operate under the Itan system, which includes the use of Itan's trademarks, service marks, trade names, logos, and other intellectual property. However, the franchisee does not own the intellectual property itself. The franchisee's rights to use the intellectual property are limited to the operation of their Itan salon and are subject to the terms and conditions of the franchise agreement.

Itan franchisees are explicitly prohibited from using the intellectual property for any purpose other than operating their franchised salon. They must maintain the confidentiality of Itan's confidential information and take steps to prevent unauthorized use or disclosure. Upon termination of the franchise agreement, the franchisee must immediately cease using all Itan intellectual property.

Moreover, any improvements or modifications to Itan's intellectual property developed by the franchisee must be assigned to Itan. This ensures that Itan retains ownership and control over its intellectual property and can continue to develop and improve the system for the benefit of all franchisees. This is a common practice in franchising, as it allows the franchisor to maintain consistency and protect the brand's reputation.

Overall, while an Itan franchisee benefits from using Itan's established brand and intellectual property, they do not acquire any ownership or goodwill in the intellectual property itself. This remains the sole property of Itan.
