What This Means (2025 FDD)
According to Itan's 2025 Franchise Disclosure Document, franchisees are required to maintain the confidentiality of the Confidential Information. The Confidentiality Agreement, outlined in Attachment "G" to the Franchise Agreement, details these obligations.
The agreement specifies that franchisees must maintain the confidentiality of the Confidential Information at all times. This includes refraining from using the Intellectual Property or Confidential Information in any capacity other than the operation of the franchisee's salon, in compliance with the Franchise Agreement and Manual. Franchisees must also avoid making unauthorized copies of documents containing Confidential Information and take all steps reasonably required by Itan to prevent unauthorized use or disclosure.
The definition of "Confidential Information" is broad, encompassing Know-How, Business Data, information in the Manual or comprising the System, the terms of the Franchise Agreement, and other concepts, ideas, trade secrets, financial information, marketing strategies, expansion strategies, and various other business-related data. This obligation extends for as long as the franchisee is an owner. This is a standard practice in franchising to protect the franchisor's proprietary information and maintain a competitive advantage.
