Neither party may: (a) make any express or implied agreement, warranty or representation, or incur any debt, in the name of or on behalf of the other; or (b) represent that our relationship is other than franchisor and franchisee.

What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, the franchise agreement explicitly prohibits either party from making representations or agreements on behalf of the other. Specifically, Itan franchisees cannot make any express or implied agreements, warranties, or representations in the name of Itan. Similarly, Itan cannot make such representations on behalf of its franchisees.

This restriction ensures that each party remains independent and is responsible for its own actions and obligations. It also prevents misunderstandings or legal issues that could arise from one party acting as an agent of the other without explicit authorization. This is a fairly standard clause in franchise agreements, intended to protect both the franchisor and the franchisee from liability for actions taken by the other.

Furthermore, the Itan franchise agreement states that neither party will be obligated by any agreements or representations made by the other that are not expressly authorized by the agreement. This reinforces the importance of written authorization and ensures that franchisees are not bound by any unauthorized promises or commitments made by Itan, or vice versa. This provision aims to provide clarity and prevent disputes regarding the scope of each party's responsibilities and liabilities.
