- "Salon" means any salon we authorize to operate under the Marks and use our System.
- "System" means our system developed for the operation of a Salon, the distinctive characteristics of which include: distinctive interior and exterior design, décor, signage, color scheme and other trade dress elements; proprietary retail products and equipment; high quality tanning services, technology and techniques; comprehensive training programs; advertising and marketing strategies; merchandising strategies; and operating system.
- 2. BACKGROUND. You are an employee or independent contractor of Franchisee. As a result of this association, you may gain knowledge of our System and Know-how. You understand that protecting the Intellectual Property is vital to our success and that of our franchisees and that you could seriously jeopardize our franchise system if you were to unfairly compete with us or misuse our Intellectual Property. To avoid such damage, you agree to comply with the terms of this Agreement.
3. BRAND PROTECTION COVENANTS.
- (a) Protection of Confidential Information and IP. You agree to: (i) refrain from using the Intellectual Property or Confidential Information in any business or for any purpose other than the operation of Franchisee's Salon for the exclusive benefit of Franchisee; (ii) refrain from using the Intellectual Property or Confidential Information for any purpose or in any manner unrelated to the performance of your responsibilities to Franchisee in accordance with the terms of your employment or engagement with Franchisee; (iii) maintain the confidentiality of Confidential Information at all times;

What This Means (2025 FDD)
According to Itan's 2025 Franchise Disclosure Document, as an employee or independent contractor of an Itan franchisee, you may gain knowledge of Itan's System and Know-how. Itan considers the protection of its Intellectual Property vital to the success of its franchise system. To avoid jeopardizing the franchise system, you must comply with the terms outlined in the Confidentiality Agreement.
The agreement stipulates that you must refrain from using Itan's Intellectual Property or Confidential Information in any business or for any purpose other than the operation of the franchisee's salon. You are obligated to maintain the confidentiality of Confidential Information at all times and refrain from making unauthorized copies of documents containing such information. Additionally, you must take all steps reasonably required by Itan to prevent unauthorized use or disclosure of Confidential Information.
Upon termination of your employment or independent contractor relationship with the Itan franchisee, you must immediately cease using the Intellectual Property and Confidential Information. Furthermore, you agree to assign to Itan or its designee, without charge, all rights to any Improvement developed by you, including the right to grant sublicenses. Itan requires all employees, officers, directors, independent contractors, and other persons associated with the franchisee or their salon to sign and send a Confidentiality Agreement before accessing Itan's Confidential Information.
