BACKGROUND**. You are an employee or independent contractor of Franchisee.

As a result of this association, you may gain knowledge of our System and Know-how.

You understand that protecting the Intellectual Property is vital to our success and that of our franchisees and that you could seriously jeopardize our franchise system if you were to misuse our Intellectual Property.

To avoid such damage, you agree to comply with the terms of this Agreement.

What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, as an employee or independent contractor of an Itan franchisee, you may gain knowledge of Itan's System and Know-how. The System includes distinctive interior and exterior design, proprietary retail products and equipment, high quality tanning services, technology and techniques, comprehensive training programs, advertising and marketing strategies, merchandising strategies, and operating system. Know-how includes trade secrets and proprietary information related to the design, construction, development, marketing, or operation of a Salon. This includes architectural plans, site selection criteria, menu systems, methods and techniques, standards and specifications, policies and procedures, supplier lists and information, marketing strategies, merchandising strategies, and financial information.

It is important to protect Itan's intellectual property, as misuse could jeopardize the franchise system. As such, employees or independent contractors are required to comply with the terms of the Brand Protection Agreement. This includes refraining from using the Intellectual Property or Confidential Information in any business or for any purpose other than the operation of the Itan franchisee's Salon, maintaining the confidentiality of Confidential Information at all times, refraining from making unauthorized copies of documents containing Confidential Information, taking all steps reasonably required to prevent unauthorized use or disclosure of Confidential Information, and immediately stopping using the Intellectual Property and Confidential Information at such time that you are no longer an employee or independent contractor of Franchisee.

Employees or independent contractors also agree to assign to Itan or its designee, without charge, all rights to any Improvement developed, including the right to grant sublicenses. An Improvement is any idea, addition, modification or improvement to the goods or services offered at a Salon, method of operation of a Salon, processes, systems or procedures utilized by a Salon, marketing, advertising or promotional materials, programs or strategies utilized by a Salon or trademarks, service marks, logos or other intellectual property utilized by a Salon, whether developed by the employee or independent contractor, Franchisee, Itan or any other person.
