What This Means (2025 FDD)
According to Itan's 2025 Franchise Disclosure Document, the definition of "Improvement" explicitly includes modifications to the goods or services offered or sold at a Salon. This means that any idea, addition, modification, or improvement to the goods or services provided at an Itan Salon falls under the definition of "Improvement" as defined in the agreement.
This definition extends beyond just the goods and services themselves. It also encompasses any changes to the method of operation of a Salon, the processes, systems, or procedures utilized, marketing, advertising, or promotional materials, and even the trademarks, service marks, logos, or other intellectual property used by the Salon. The definition applies regardless of who develops the improvement, whether it's the franchisee, the franchisor (Itan), or any other person.
For a prospective Itan franchisee, this is significant because any improvements they develop related to the goods or services offered at their salon are subject to the terms of the franchise agreement. It is important for franchisees to understand that any such improvements, as defined broadly by Itan, may be subject to certain obligations or considerations as outlined in the franchise agreement.
